As a result, UMG was famously <a href=\"https:\/\/www.musicbusinessworldwide.com\/emi-music-buyout-the-ecs-rules-universal-must-not-break\/\" target=\"_blank\" rel=\"noopener\">forced<\/a> to divest <strong>Parlophone Label Group<\/strong> \u2013 essentially, EMI&#8217;s Parlophone assets minus the Beatles \u2013 which was <a href=\"https:\/\/www.musicbusinessworldwide.com\/warner-buys-parlophone-from-umg-for-487m\/\" target=\"_blank\" rel=\"noopener\">sold to Warner Music Group for GBP \u00a3487 million in 2013.<\/a><\/p>\n<p>At the time, Parlophone&#8217;s recordings catalog included the likes of <strong>Kate Bush, Gorillaz, David Bowie, Coldplay, Gorillaz, Duran Duran,<\/strong> and <strong>David Guetta<\/strong>. All went to Warner.<\/p>\n      <div class=\"mb-advert__incontent\">      <div class=\"mb-advert mb-advert__spu\" data-loaded=\"no\" data-name=\"300x250 Sponsor MPU #1\" data-params=\"dfp_spu1\" id=\"dfp_spu1\"><\/div>      <\/div>      \n<p>Universal was additionally forced to divest EMI&#8217;s 50% share of the <em>NOW: That&#8217;s What I Call Music!<\/em> compilation brand, which was acquired by UMG&#8217;s fierce rival, Sony Music, for <strong>GBP \u00a336.1 million<\/strong> in April 2013, according to Companies House filings.<\/p>\n<p>The disposals didn&#8217;t end there: the EC <a href=\"https:\/\/www.musicbusinessworldwide.com\/emi-music-buyout-the-ecs-rules-universal-must-not-break\/\" target=\"_blank\" rel=\"noopener\">further forced<\/a> UMG to divest multiple local EMI operations in Europe (including EMI France, EMI Spain, and EMI Sweden), plus the recorded music catalogs of labels such as <strong>Chrysalis<\/strong> and <strong>Sanctuary<\/strong> (the latter was sold to BMG for <a href=\"https:\/\/www.musicbusinessworldwide.com\/bmg-buys-sanctuary-records-for-around-40m\/\" target=\"_blank\" rel=\"noopener\">around GBP \u00a340m<\/a> in 2013).<\/p>\n<p>Yet the most <a href=\"https:\/\/www.musicbusinessworldwide.com\/emi-music-buyout-the-ecs-rules-universal-must-not-break\/\" target=\"_blank\" rel=\"noopener\">damaging condition<\/a> placed on Universal Music Group by European competition watchdogs was this one: <strong>Universal was banned from re-acquiring any asset \u2013 or re-signing any artist \u2013 involved in its EMI-related divestments <span style=\"text-decoration: underline;\">for a full decade<\/span>.<\/strong><\/p>\n<hr \/>\n<figure class=\"mbw-articlepic mbw-articlepic--right\"><img  class=\"lazyload\" data-srcset=\"https:\/\/www.musicbusinessworldwide.com\/files\/2022\/10\/EU-80x53.jpg 80w, https:\/\/www.musicbusinessworldwide.com\/files\/2022\/10\/EU-160x107.jpg 160w, https:\/\/www.musicbusinessworldwide.com\/files\/2022\/10\/EU-320x214.jpg 320w, https:\/\/www.musicbusinessworldwide.com\/files\/2022\/10\/EU-418x279.jpg 418w\" data-sizes=\"auto\"><\/figure><p>On <span style=\"color: #FF7D00;\"><strong>September 21, 2012<\/strong><\/span>, the European Commission officially announced that it had cleared UMG&#8217;s acquisition of <strong>EMI Music<\/strong>, but with strict conditions.<\/p>\n<p>In addition to the forced divestments mentioned above, the <a href=\"https:\/\/www.musicbusinessworldwide.com\/files\/2022\/10\/Mergers__Commission_clears_proposed_merger_between_Universal_and_EMI_Music_subject_to_conditions-frequently_asked_questions.pdf\" target=\"_blank\" rel=\"noopener\">EC stated<\/a>, in no uncertain terms: <strong>&#8220;Universal [has] committed to not re-acquire the assets or re-sign any artists signed with the relevant entities for a period of ten years.&#8221;<\/strong><\/p>\n<p>This ten-year prohibition, said the EC at the time, would make sure that Universal&#8217;s EMI-related divestments would be <strong>&#8220;truly long-lasting&#8221;<\/strong>.<\/p>\n<p>And it has been.<\/p>\n<p>But guess what? Just the other week (<span style=\"color: #FF7D00;\"><strong>September\u00a021, 2022<\/strong><\/span>), that 10-year deadline&#8230; expired.<\/p>\n      <div class=\"mb-advert__incontent\">      <div class=\"mb-advert mb-advert__spu\" data-loaded=\"no\" data-name=\"300x250 Sponsor MPU #2\" data-params=\"dfp_spu2\" id=\"dfp_spu2\"><\/div>      <\/div>      \n<p>Think about the impact this ten-year ban \u2013 and the concomitant heightened scrutiny from EC regulators towards <strong>Universal<\/strong> \u2013 has had on UMG&#8217;s M&amp;A business since its EMI acquisition.<\/p>\n<p>For one thing, its rivals \u2013 particularly <strong>Sony Music<\/strong> \u2013 have taken full advantage of Universal&#8217;s freeze-out in Europe.<\/p>\n<p>Assets acquired by Sony over the past ten years to grow its European market share include Germany&#8217;s <strong>Century Media<\/strong> (<a href=\"https:\/\/www.musicbusinessworldwide.com\/sony-bought-ministry-of-sound-for-67m-century-media-for-12m\/\" target=\"_blank\" rel=\"noopener\">$17m in 2016<\/a>), plus two prominent indie distributors: Norway&#8217;s<a href=\"https:\/\/www.musicbusinessworldwide.com\/the-orchard-bolsters-distribution-might-europe-finetunes-phonofile-acquisition\/\" target=\"_blank\" rel=\"noopener\">\u00a0<strong>Phonofile <\/strong><\/a>and Germany&#8217;s<a href=\"https:\/\/www.musicbusinessworldwide.com\/the-orchard-bolsters-distribution-might-europe-finetunes-phonofile-acquisition\/\" target=\"_blank\" rel=\"noopener\"><strong> Finetunes<\/strong><\/a>. (Sony also took a <a href=\"https:\/\/www.musicbusinessworldwide.com\/sony-buy-believe-digital-nine-figure-deal\/\" target=\"_blank\" rel=\"noopener\">long look at acquiring<\/a> France&#8217;s <strong>Believe<\/strong>, before that company moved in a different direction and publicly listed in Paris.)<\/p>\n<p>Warner&#8217;s been busy in Europe too, paying <a href=\"https:\/\/www.musicbusinessworldwide.com\/warner-buys-spinnin-records-100m-deal\/\" target=\"_blank\" rel=\"noopener\"><strong>$100m-plus<\/strong><\/a> to buy <strong>Spinnin&#8217; Records<\/strong> in The Netherlands (2017), and then <a href=\"https:\/\/www.musicbusinessworldwide.com\/warner-completes-180m-acquisition-of-merch-company-emp\/\" target=\"_blank\" rel=\"noopener noreferrer\">shelling out a further $180m <\/a>to buy merch and e-commerce company<strong> EMP<\/strong> in Germany (2018).<\/p>\n<blockquote><p><strong>&#8220;Universal [has] committed to not re-acquire the assets or re-sign any artists signed with the relevant entities for a period of ten years.&#8221;<\/strong><\/p>\n<p><span style=\"color: #000000;\">European Commission announcement, October 21, 2012<\/span><\/p><\/blockquote>\n<p>Important: The 2012 UMG\/EMI ruling from the EC took place at a time when the <strong>UK<\/strong> remained part of the European Union (something that wouldn&#8217;t change until &#8216;Brexit&#8217; \u2013 i.e. the UK&#8217;s official withdrawal from the EU \u2013 was completed in <a href=\"https:\/\/www.government.nl\/topics\/brexit\/question-and-answer\/when-will-the-united-kingdom-leave-the-european-union\" target=\"_blank\" rel=\"noopener\">January 2020<\/a>).<\/p>\n<p>As such, <strong>Universal<\/strong> has also been conspicuously quiet when it comes to buying assets in the UK.<\/p>\n<p>Conversely, during the past decade, Sony Music has acquired significant UK music companies\/assets like <strong>Ministry Of Sound<\/strong> (<a href=\"https:\/\/www.musicbusinessworldwide.com\/ministry-of-sound-to-sony-music-uk\/\" target=\"_blank\" rel=\"noopener\">GBP \u00a367m in 2016<\/a>), Simon Cowell&#8217;s <strong>Syco<\/strong> music assets (<a href=\"https:\/\/www.musicbusinessworldwide.com\/sony-spends-86m-on-50-stake-in-simon-cowells-syco-holdings\/\" target=\"_blank\" rel=\"noopener\">2015<\/a>, then <a href=\"https:\/\/www.musicbusinessworldwide.com\/sony-sells-syco-tv-formats-to-simon-cowell-but-keeps-music-catalog\/\" target=\"_blank\" rel=\"noopener\">2020<\/a>), distributor <strong>Essential Music + Marketing<\/strong> (<a href=\"https:\/\/www.musicbusinessworldwide.com\/sony-acquires-essential-music-marketing-launches-red-essential\/\" target=\"_blank\" rel=\"noopener\">2016<\/a>), plus UK merch company <strong>Probity<\/strong> (<a href=\"https:\/\/www.musicbusinessworldwide.com\/sony-musics-the-thread-shop-acquires-uk-merch-company-probity\/\" target=\"_blank\" rel=\"noopener\">2020<\/a>).<\/p>\n<p>And, of course, last year Sony Music gained competition clearance to acquire Kobalt&#8217;s UK-headquartered <strong>AWAL<\/strong> and <strong>Kobalt Neighbouring Rights<\/strong> in a <a href=\"https:\/\/www.musicbusinessworldwide.com\/sony-musics-430m-acquisition-of-awal-officially-cleared-by-uk-competition-watchdog\/\" target=\"_blank\" rel=\"noopener\">USD $430 million deal<\/a>.<\/p>\n<hr \/>\n<figure class=\"mbw-articlepic mbw-articlepic--right\"><img  class=\"lazyload\" data-srcset=\"https:\/\/www.musicbusinessworldwide.com\/files\/2022\/07\/Kate_Bush_-_Running_Up_That_Hill-80x80.jpeg 80w, https:\/\/www.musicbusinessworldwide.com\/files\/2022\/07\/Kate_Bush_-_Running_Up_That_Hill-160x160.jpeg 160w\" data-sizes=\"auto\"><\/figure><p>Perhaps the biggest pain point for <strong>Universal Music Group<\/strong> from its 10-year EC ban, however, has been the artists.<\/p>\n<p>Remember that specific list of stars who Universal lost to Warner via the Parlophone Label Group divestment: <strong>Kate Bush, Pink Floyd, Blur, Coldplay, David Bowie, David Guetta<\/strong> and more.<\/p>\n<p><strong>Kate Bush<\/strong>, as we all know, just had <a href=\"https:\/\/www.musicbusinessworldwide.com\/podcast\/where-are-all-the-kate-bush-t-shirts\/\" target=\"_blank\" rel=\"noopener\">Spotify&#8217;s biggest hit of summer 2022 in the United States<\/a> \u2013 a hit super-charged by a <strong>Netflix<\/strong> sync in May, and owned by her own Noble &amp; Brite UK Ltd. company.<\/p>\n<p><strong>Universal<\/strong>, under the EC&#8217;s post-EMI restrictions, wouldn&#8217;t have been allowed to make Kate Bush an offer to acquire that recording (or even sign it on a distribution deal).<\/p>\n<hr \/>\n<p>Another thought: Many have wondered why Universal Music Group has been discounted from the list of names chasing the acquisition of<strong> Pink Floyd&#8217;s<\/strong> masters over the past six months \u2013 a list <a href=\"https:\/\/www.musicbusinessworldwide.com\/podcast\/who-is-going-to-buy-the-pink-floyd-catalog\/\" target=\"_blank\" rel=\"noopener\">that includes<\/a> the likes of Sony Music, Warner Music, and Concord.<\/p>\n<p>Again, under the EC&#8217;s 2012 ruling, with <strong>Pink Floyd&#8217;s<\/strong> music being distributed by Parlophone in the UK\/Europe, Universal would not legally have been allowed to acquire such an asset until its decade-long, post-EMI freeze-out had expired.<\/p>\n<p>Another relevant move: <strong>David Guetta&#8217;s<\/strong> recordings catalog <a href=\"https:\/\/www.musicbusinessworldwide.com\/warner-music-spends-over-100m-to-acquire-david-guetta-recordings-catalog\/\" target=\"_blank\" rel=\"noopener\">was acquired<\/a> by Warner Music Group for over <strong>$100 million<\/strong> last year. The EC rules would have precluded Universal from bidding.<\/p>\n<p>Likewise, <strong>David Bowie&#8217;s<\/strong> career-spanning recordings catalog was <a href=\"https:\/\/www.musicbusinessworldwide.com\/david-bowies-entire-catalog-is-coming-to-warner-music-from-2023\/\" target=\"_blank\" rel=\"noopener\">last year signed<\/a> to Warner Music Group (as distribution and marketing partner) from 2023 onwards.<\/p>\n<p>At the time, Universal would not have been allowed to do that deal, in Europe at least. (Side-note: Warner <a href=\"https:\/\/www.musicbusinessworldwide.com\/warner-buys-david-bowie-song-catalog-for-250m\/\" target=\"_blank\" rel=\"noopener\">acquired<\/a> Bowie&#8217;s song catalog in a separate deal.)<\/p>\n<hr \/>\n<figure class=\"mbw-articlepic mbw-articlepic--right\"><img  alt=\"PIAS logo\" title=\"PIAS logo\" class=\"lazyload\" data-srcset=\"https:\/\/www.musicbusinessworldwide.com\/files\/2017\/03\/PIASBW-e1433177518880-80x47.jpg 80w, https:\/\/www.musicbusinessworldwide.com\/files\/2017\/03\/PIASBW-e1433177518880-160x94.jpg 160w, https:\/\/www.musicbusinessworldwide.com\/files\/2017\/03\/PIASBW-e1433177518880-320x188.jpg 320w, https:\/\/www.musicbusinessworldwide.com\/files\/2017\/03\/PIASBW-e1433177518880-418x245.jpg 418w\" data-sizes=\"auto\"><\/figure><p>It&#8217;s also intriguing to look at the deals <strong>Universal<\/strong><em> itself<\/em> has done in Europe \u2013 and one in particular.<\/p>\n<p>Last year, UMG announced a <a href=\"https:\/\/www.musicbusinessworldwide.com\/universal-music-group-and-pias-strike-strategic-global-alliance\/\" target=\"_blank\" rel=\"noopener\">&#8220;strategic global alliance&#8221;<\/a> with <strong>[PIAS]<\/strong>, which runs one of Europe&#8217;s most successful and respected independent distribution and services companies.<\/p>\n<p>The announcement was light on hard detail, although Universal committed to providing <strong>[PIAS]<\/strong> with an undisclosed package of funding. Importantly, UMG did so without taking any ownership in [PIAS] \u2013 not even a minority stake.<\/p>\n<p>As MBW <a href=\"https:\/\/www.musicbusinessworldwide.com\/universal-music-group-and-pias-strike-strategic-global-alliance\/\" target=\"_blank\" rel=\"noopener\">pointed out at the time<\/a>, Universal actually wouldn&#8217;t have legally been allowed to do so:<\/p>\n<ul><li>In 2013, Belgium-born [PIAS] <a href=\"https:\/\/www.musicbusinessworldwide.com\/pias-completes-acquisition-of-cooperative-music-from-universal\/\" target=\"_blank\" rel=\"noopener\">acquired<\/a><strong> Co-Op Music Ltd.<\/strong> from Universal;<\/li><li><strong>Co-Op<\/strong>, a services and funding network for indie labels, was <a href=\"https:\/\/www.musicbusinessworldwide.com\/emi-music-buyout-the-ecs-rules-universal-must-not-break\/\" target=\"_blank\" rel=\"noopener\">specifically named<\/a> by the EC as one of the assets UMG had to divest following its acquisition of EMI Music in 2012.<\/li><\/ul>\n<p>Following the expiry of its post-EMI restrictions last month, <strong>Universal<\/strong> could now legally approach [PIAS] with a minority or majority equity acquisition offer, or do so by suggesting an extension of its current &#8220;alliance&#8221; with the company.<\/p>\n<p>When we asked [PIAS] CEO and co-founder, <strong>Kenny Gates<\/strong>, about that possibility last summer, <a href=\"https:\/\/www.musicbusinessworldwide.com\/universal-music-group-and-pias-strike-strategic-global-alliance\/\" target=\"_blank\" rel=\"noopener\">he said<\/a>: &#8220;The future is the future. We don\u2019t know what will happen tomorrow or the day after. But today, we are completely independent and completely in control of our destiny.&#8221;<\/p>\n<p>Gates added: &#8220;[PIAS] is not for sale.\u201d<\/p>\n<p>(Potentially note-worthy: [PIAS], which is <a href=\"https:\/\/www.musicbusinessworldwide.com\/soulwaxs-classic-2manydjs-album-is-finally-coming-to-spotify-kicking-off-the-40th-anniversary-celebrations-of-pias\/\" target=\"_blank\" rel=\"noopener\">currently celebrating its 40th anniversary as an independent,<\/a> is now purely a <a href=\"https:\/\/www.pias.com\/\" target=\"_blank\" rel=\"noopener\">record company\/repertoire brand<\/a>. The distribution\/services company for external indie label partners that previously sat under the [PIAS] banner was last year <a href=\"https:\/\/www.musicbusinessworldwide.com\/pias-re-brands-distribution-business-to-integral-and-appoints-adrian-pope-as-managing-director\/\" target=\"_blank\" rel=\"noopener\">spun out<\/a> into a separate [PIAS]-owned brand, <strong>[Integral]<\/strong>.)<\/p>\n<hr \/>\n<p>Regardless of what Universal Music Group does or doesn&#8217;t acquire in the months and years ahead, one fact seems clear: UMG is now, finally, free to buy in Europe \u2013 and buy it shall.<\/p>\n<p>Don&#8217;t forget, we are talking about a company which, according to its financial results,<a href=\"https:\/\/investors.universalmusic.com\/reports\" target=\"_blank\" rel=\"noopener\">\u00a0spent<\/a><strong> EUR \u20ac264 million<\/strong> on catalog acquisitions in the first half of 2022 alone.<\/p>\n<p>Finally, UMG&#8217;s M&amp;A handcuffs have been removed, after a long ten-year wait, in one of the world&#8217;s biggest commercial markets.<\/p>\n<p>Don&#8217;t expect it to waste much time.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>In 2012, the European Commission banned UMG from making a wide range of deals in Europe.
