owns Warner Music Group today?"},"content":{"rendered":"<p>Warner Music Group (WMG)&#8217;s stock price hasn&#8217;t had the smoothest of years so far in 2023 \u2013 it&#8217;s down around 27% since the year began.<\/p>\n<p>That said, after taking a tumble last Tuesday (May 9) following its latest earnings report, WMG&#8217;s share price bounced up by around <span style=\"color: #008000;\"><strong>4%<\/strong><\/span> yesterday (May 15), closing on the Nasdaq at <strong>USD $26.34<\/strong>.<\/p>\n<p>Though Warner posted <span style=\"color: #008000;\"><strong>4.6% YoY<\/strong><\/span> growth in revenue in the<a href=\"https:\/\/www.musicbusinessworldwide.com\/warner-music-group-grows-revenues-4-6-yoy-in-calendar-q1-recorded-music-streaming-revenue-rises-2-2\/\" target=\"_blank\" rel=\"noopener\"> first calendar quarter<\/a> of 2023, that lagged behind the revenue increases of other industry leaders such as <a href=\"https:\/\/www.musicbusinessworldwide.com\/spotify-added-5m-premium-subscribers-in-q1-taking-its-total-global-paid-subs-audience-to-210m\/\">Spotify (+<span style=\"color: #008000;\"><strong>13% YoY)<\/strong><\/span> <\/a>and <a href=\"https:\/\/www.musicbusinessworldwide.com\/universal-generated-2-6bn-in-q1-as-subscription-streaming-revenues-jumped-over-10-yoy\/\">Universal Music Group (<span style=\"color: #008000;\"><strong>+9.3% YoY)<\/strong><\/span>\u00a0<\/a>in the same quarter.<\/p>\n<p>Warner told investors last week that it expects its revenue growth to &#8220;reaccelerate&#8221; in the second half of its fiscal year (to end of September), partly thanks to a stronger slate of new releases from established stars.<\/p>\n<p><span style=\"font-weight: commercial worth has come a long way.<\/p>\n<p>When Access Industries \u2013 controlled by billionaire Len Blavatnik \u2013 bought out WMG in 2011, it <a href=\"https:\/\/www.musicbusinessworldwide.com\/access-industries-buys-warner-music-group-for-3-3bn\/\">paid USD <strong>$3.3 billion<\/strong><\/a> for the company.<\/p>\n<p>WMG&#8217;s current share price yesterday evening (via <a href=\"https:\/\/ycharts.com\/companies\/WMG\/market_cap\" target=\"_blank\" rel=\"noopener\">YCharts<\/a>) implied a market cap of <strong>$13.59 billion<\/strong>, a more than four-fold increase over 12 years.<\/p>\n<hr \/>\n<h6>Who owns Warner Music Group?<\/h6>\n<p>All of which brings into focus the question of who actually owns Warner Music Group, and the percentage of the company each of these multiple parties controls.<\/p>\n<p>MBW has conducted a deep dive into WMG\u2019s SEC filings \u2013 via both annual shareholding updates (14A) and additional disclosures from individual shareholders (SC 13GA) across the past few years.<\/p>\n<p>Here&#8217;s what we found.<\/p>\n<p><span style=\"font-weight: 400;\">      <div class=\"mb-advert__incontent\">      <div class=\"mb-advert mb-advert__spu\" data-loaded=\"no\" data-name=\"300x250 Sponsor MPU #1\" data-params=\"dfp_spu1\" id=\"dfp_spu1\"><\/div>      <\/div>      <\/span><\/p>\n<p><strong>Len Blavatnik<\/strong> personally controlled <strong>73.03%<\/strong> of Warner Music Group&#8217;s total outstanding shares as of the start of this year, according to MBW&#8217;s calculations based on Warner&#8217;s SEC filings (see below).<\/p>\n<p>Access Industries founder Blavatnik \u2013 who, at last count, ranked in <strong>38th<\/strong> place on the <a href=\"https:\/\/www.bloomberg.com\/billionaires\/profiles\/leonard-blavatnik\/\">Bloomberg Billionaires Index<\/a>, with a net worth of <strong>$33.5 billion<\/strong> \u2013 actually exerts even more control over WMG than his raw share count suggests when it comes to his <em>voting<\/em> power at the firm.<\/p>\n<p>WMG\u2019s shares are divided into two classes: Class A shares come with one vote each, while Class B shares get 20 votes each.<\/p>\n<p>As of the beginning of 2023, Blavatnik personally controlled <strong>99.8%<\/strong> of WMG&#8217;s Class B shares, according to the company&#8217;s annual 14A report (see below).<\/p>\n<p>There were far more of these Class B shares in existence than there were Class A shares as of early January 2023: <strong>377.65 million<\/strong> Class B shares in all, compared to <strong>138.29 million<\/strong> Class A shares.<\/p>\n<hr \/>\n<figure class=\"mbw-articlepic mbw-articlepic--center\"><a Warner&#8217;s latest 14A filing, Len Blavatnik owned 99.8% of Class B shares in the company as of January 6, 2023. Blavatnik owned these shares, says the filing, via &#8216;entities over which [he] either exercises or may be deemed to exercise direct or indirect control&#8217;<\/figcaption><\/figure>\n<hr \/>\n<p>In all, what that means is that \u2013 as of the start of the year \u2013 Len Blavatnik personally controlled over <strong>97%<\/strong> of the voting power at WMG.<\/p>\n<p>At the average price of WMG\u2019s shares in 2022, Blavatnik\u2019s holdings of <strong>376.79 million<\/strong> shares would have been worth approximately <strong>$11.63 billion<\/strong>.<\/p>\n<p>At yesterday&#8217;s closing price of <strong>$26.34<\/strong>, those shares would be worth about <strong>$9.92 billion<\/strong>.<\/p>\n<hr \/>\n<h6><figure class=\"mbw-articlepic Group?<\/h6>\n<p>Shareholders who own more than<strong> 5%<\/strong> of a class of shares in publicly traded companies in the US \u2013 Warner Music Group included \u2013 must file with the SEC each year to confirm the latest size of their shareholding.<\/p>\n<p>Thanks to a flurry of these filings in January and February this year, MBW can present an updated picture of what Warner Music Group&#8217;s shareholding looked like as of Q1 2023.<\/p>\n<p>What we&#8217;ve learned: the largest minority shareholder in Warner Music Group is Boston-headquartered <a href=\"https:\/\/www.fidelity.com\/\" target=\"_blank\" rel=\"noopener\">Fidelity Investments<\/a>.<\/p>\n<p>The financial services firm reported in a February 2023 filing that it controlled <strong>17.18 million<\/strong> &#8216;Class A&#8217; shares in WMG.<\/p>\n<p>According to MBW&#8217;s calculations, that gave Fidelity <strong>12.42%<\/strong> of all WMG\u2019s Class A shares, or <strong>3.33% <\/strong>of the total company (including Class B shares).<\/p>\n<hr \/>\n<figure class=\"mbw-articlepic mbw-articlepic--center\"><a SEC filing in February confirmed its ownership of 17.18m shares in Warner<\/figcaption><\/figure>\n<hr \/>\n<p>Fidelity\u2019s portfolio of WMG shares is therefore worth nearly half a billion dollars (<strong>$452.5 million)<\/strong> at the company&#8217;s latest stock price.<\/p>\n<p>Per the SEC filings, Fidelity bought into WMG in 2021, and its holdings have stayed relatively steady since then.<\/p>\n<p>However, there are many other significant minority shareholders in WMG, too.<\/p>\n<hr \/>\n<p><a href=\"https:\/\/www.musicbusinessworldwide.com\/files\/2023\/05\/page-1.png\" target=\"_blank\" rel=\"noopener\"><figure class=\"mbw-articlepic mbw-articlepic--center\"><img  class=\"lazyload\" src=\"https:\/\/www.musicbusinessworldwide.com\/files\/2023\/05\/page-1-80x47.png\" data-sizes=\"auto\"><\/a><\/figure>\n<hr \/>\n<h6>From Sands Capital to Steve Cooper&#8230; and beyond<\/h6>\n<p>Another large shareholder in WMG is Arlington, Virginia-headquartered <a href=\"https:\/\/www.sandscapital.com\/\" target=\"_blank\" rel=\"noopener\">Sands Capital<\/a>, with <strong>11.55 million<\/strong> shares reported as of the start of this year, according to SEC filings.<\/p>\n<p>That represented <strong>7.72%<\/strong> of all of Warner&#8217;s Class A shares, according to MBW&#8217;s calculations, or<strong> 2.07%<\/strong> of all shares combined.<\/p>\n<p>These holdings would be worth <strong>$304.2 million<\/strong> at Warner&#8217;s current stock price.<\/p>\n<p>Sands has held WMG stock since the music company went public on the Nasdaq in 2020, though Sands has reduced its holdings somewhat.<\/p>\n<p>It owned <strong>13.12 million<\/strong> shares\u00a0shortly after WMG\u2019s IPO in June of 2020, an SEC filing shows.<\/p>\n<hr \/>\n<p>Among other major equity owners in WMG is <strong>Stephen Cooper<\/strong>, who succeeded Edgar Bronfman Jr. as CEO of WMG in 2011, following the takeover by Len Blavatnik&#8217;s Access Industries.<\/p>\n<p>Cooper, who served as CEO until Robert Kyncl <a href=\"https:\/\/www.musicbusinessworldwide.com\/confirmed-robert-kyncl-is-warner-music-groups-new-ceo\/\" target=\"_blank\" rel=\"noopener\">succeeded him earlier this year<\/a>, controlled <strong>6.14 million<\/strong> Class A shares in Warner Music Group\u00a0as of the start of 2023.<\/p>\n<p>That equated to <strong>4.44%<\/strong> of all WMG&#8217;s Class A shares, and <strong>1.19%<\/strong> of the whole company.<\/p>\n<p>Cooper&#8217;s shareholding volume would be worth <strong>$161.7 million<\/strong> at WMG&#8217;s latest share price.<\/p>\n<hr \/>\n<p>Elsewhere, Australia-founded <a href=\"https:\/\/www.caledonia.com.au\/\" target=\"_blank\" rel=\"noopener\">Caledonia (Private) Investments Pty<\/a> held <strong>6.26 million<\/strong> Class A shares in Warner Music Group as of the start of 2023.<\/p>\n<p>That represented <strong>4.53%<\/strong> of all Class A shares in the company, MBW calculates, and <strong>1.21%<\/strong> of the firm&#8217;s entire shareholding.<\/p>\n<p>Caledonia&#8217;s shares would be worth\u00a0<strong>$164.9 million<\/strong> at yesterday&#8217;s closing share price.<\/p>\n<p>Another Warner investor, Pennsylvania-headquartered investment advisor <a href=\"https:\/\/investor.vanguard.com\/corporate-portal\/\" target=\"_blank\" rel=\"noopener\">Vanguard Group<\/a>, held <strong>10.42 million<\/strong> shares as of February 9, 2023 \u2013 representing <strong>7.54%<\/strong> of all Class A shares.<\/p>\n<p>Vanguard&#8217;s shareholding would have been worth over quarter of a billion dollars \u2013 <strong>$274.5 million<\/strong> \u2013 at yesterday&#8217;s share price.<\/p>\n<hr \/>\n<h6>A changing of the guard<\/h6>\n<p>Some previously large investors in WMG are today conspicuous by their absence in WMG&#8217;s latest SEC filings \u2013 suggesting their holding of Class A shares has fallen beneath the tell-tale level of <strong>5%<\/strong> of this share class.<\/p>\n<p>Perhaps the most notable example is Shenzhen-headquartered tech and media giant, Tencent.<\/p>\n<p>As recently as <a href=\"https:\/\/investors.wmg.com\/static-files\/5ef63191-af61-48ff-b3cc-10e1ec85ca0e\" target=\"_blank\" rel=\"noopener\">February 2022<\/a>, Tencent reported holding<strong>\u00a06.76 million<\/strong> Class A shares of WMG, according to an SEC filing, split between a holding company (Huang River Investment) and its subsidiary, Tencent Music Entertainment.<\/p>\n<p>That shareholding equated to <strong>1.31%<\/strong> of Warner&#8217;s entire shareholding, according to MBW&#8217;s calculations, and <strong>4.93%<\/strong> of Class A shares in the company at the time.<\/p>\n<hr \/>\n<figure class=\"mbw-articlepic mbw-articlepic--center\"><a href=\"https:\/\/www.musicbusinessworldwide.com\/files\/2023\/05\/Warner2022-1.png\" target=\"_blank\" rel=\"noopener\"><img  class=\"lazyload\" src=\"https:\/\/www.musicbusinessworldwide.com\/files\/2023\/05\/Warner2022-1-80x47.png\" data-srcset=\"https:\/\/www.musicbusinessworldwide.com\/files\/2023\/05\/Warner2022-1-80x47.png 80w, https:\/\/www.musicbusinessworldwide.com\/files\/2023\/05\/Warner2022-1-160x93.png 160w, https:\/\/www.musicbusinessworldwide.com\/files\/2023\/05\/Warner2022-1-320x187.png 320w, https:\/\/www.musicbusinessworldwide.com\/files\/2023\/05\/Warner2022-1-418x244.png 418w, https:\/\/www.musicbusinessworldwide.com\/files\/2023\/05\/Warner2022-1-648x378.png 648w, https:\/\/www.musicbusinessworldwide.com\/files\/2023\/05\/Warner2022-1-836x488.png 836w\" data-sizes=\"auto\"><\/a><\/figure>\n<hr \/>\n<p>Tencent has since vanished both from SEC filings related to WMG, and from WMG\u2019s latest annual 14A reports.<\/p>\n<p>This suggests that, over the past year, the Chinese firm has reduced its WMG holdings to below the <strong>5%<\/strong> threshold that requires filing with the SEC.<\/p>\n<hr \/>\n<p>Another no-show in more recent SEC filings is <a href=\"https:\/\/en.wikipedia.org\/wiki\/Melvin_Capital\" target=\"_blank\" rel=\"noopener\">Melvin Capital<\/a>, which as recently as January 2022 reported holding <strong>7.49 million<\/strong> Class A shares in Warner Music Group.<\/p>\n<p>It&#8217;s since sold all of those shares: Melvin confirmed via a filing in <a href=\"https:\/\/investors.wmg.com\/node\/14836\/html\" target=\"_blank\" rel=\"noopener\">February 2023<\/a> that it owned <strong>0%<\/strong> of Warner Music Group.<\/p>\n<p>(Melvin Capital became something of a household name in early 2021, when it fell victim to the infamous GameStop short squeeze. Small-time investors communicating on Reddit bid up the price of GameStop stock \u2013 which Melvin Capital had shorted.
