{"id":156200,"date":"2023-06-01T19:54:05","date_gmt":"2023-06-01T18:54:05","guid":{"rendered":"https:\/\/www.musicbusinessworldwide.com\/?p=156200"},"modified":"2023-06-01T20:25:50","modified_gmt":"2023-06-01T19:25:50","slug":"reservoir-aims-to-become-the-largest-holder-of-arabic-music-copyrights-and-3-other-things-we-learned-on-the-companys-latest-earnings-call","status":"publish","type":"post","link":"https:\/\/www.musicbusinessworldwide.com\/reservoir-aims-to-become-the-largest-holder-of-arabic-music-copyrights-and-3-other-things-we-learned-on-the-companys-latest-earnings-call\/","title":{"rendered":"Reservoir aims to become the &#8216;largest holder of Arabic music copyrights&#8230;&#8217; and 3 other things we learned on the company&#8217;s latest earnings call"},"content":{"rendered":"<p>Music rights company Reservoir Media has posted double-digit revenue and EBITDA growth for its 2023 fiscal year, a success that can be chalked up to strategically sound M&amp;A activity, and a commitment to diversity in its investment strategy.<\/p>\n<p>The New York-headquartered company announced Wednesday (May 31) that it had clocked revenue of <strong>USD $122.3 million<\/strong> for fiscal 2023, which for Reservoir ended on March 31, 2023.<\/p>\n<p>That\u2019s a slight beat over the top end of the range it forecast in its <a href=\"https:\/\/www.musicbusinessworldwide.com\/reservoir-wants-to-spend-100m-on-music-rights-this-year-it-says-deal-flow-and-multiples-arent-slowing-down-just-yet\/\">fiscal Q2 2023 call<\/a>, when it expected revenue to come in at <strong>$118 million<\/strong> to <strong>$122 million<\/strong> for the fiscal year. It marks a <span style=\"color: #008000\"><strong>13%<\/strong><\/span> increase over fiscal 2022. Reservoir CFO Jim Heindlmeyer attributed this to a decrease in the gain on fair value of swaps, a one-time tax expense related to a change in the UK tax rate, higher interest expenses and a <strong>$914,000<\/strong> loss on the early extinguishment of debt.<\/p>\n<p>Earnings per share came in at <strong>$0.04<\/strong> for fiscal 2023, compared to <strong>$0.22<\/strong> in fiscal 2022.<\/p>\n<hr \/>\n<figure class=\"mbw-articlepic mbw-articlepic--center\"><img  class=\"lazyload\" src=\"https:\/\/www.musicbusinessworldwide.com\/files\/2023\/06\/reservoir-music-publishing-80x23.jpg\" data-srcset=\"https:\/\/www.musicbusinessworldwide.com\/files\/2023\/06\/reservoir-music-publishing-80x23.jpg 80w, https:\/\/www.musicbusinessworldwide.com\/files\/2023\/06\/reservoir-music-publishing-160x46.jpg 160w, https:\/\/www.musicbusinessworldwide.com\/files\/2023\/06\/reservoir-music-publishing-320x93.jpg 320w, https:\/\/www.musicbusinessworldwide.com\/files\/2023\/06\/reservoir-music-publishing-418x121.jpg 418w, https:\/\/www.musicbusinessworldwide.com\/files\/2023\/06\/reservoir-music-publishing-648x188.jpg 648w, https:\/\/www.musicbusinessworldwide.com\/files\/2023\/06\/reservoir-music-publishing-836x243.jpg 836w, https:\/\/www.musicbusinessworldwide.com\/files\/2023\/06\/reservoir-music-publishing-1296x376.jpg 1296w\" data-sizes=\"auto\"><\/figure>\n<hr \/>\n<p>Reservoir\u2019s music publishing segment clocked <strong>$83.8 million<\/strong> in revenue for the fiscal year, a <span style=\"color: #008000\"><strong>9% YoY<\/strong><\/span> increase, led by <span style=\"color: #008000\"><strong>18%<\/strong><\/span> growth in both digital and synch.<\/p>\n<p>Its recorded music segment generated <strong>$34.8 million<\/strong> in revenue, an <span style=\"color: #008000\"><strong>18% YoY<\/strong><\/span> increase, driven primarily by digital (up <span style=\"color: #008000\"><strong>25% YoY<\/strong><\/span>) and neighboring rights (a small part of overall revenue, but still up <span style=\"color: #008000\"><strong>45% YoY<\/strong><\/span>).<\/p>\n<hr \/>\n<figure class=\"mbw-articlepic mbw-articlepic--center\"><img  class=\"lazyload\" src=\"https:\/\/www.musicbusinessworldwide.com\/files\/2023\/06\/reservoir-recorded-music-80x23.jpg\" data-srcset=\"https:\/\/www.musicbusinessworldwide.com\/files\/2023\/06\/reservoir-recorded-music-80x23.jpg 80w, https:\/\/www.musicbusinessworldwide.com\/files\/2023\/06\/reservoir-recorded-music-160x46.jpg 160w, https:\/\/www.musicbusinessworldwide.com\/files\/2023\/06\/reservoir-recorded-music-320x92.jpg 320w, https:\/\/www.musicbusinessworldwide.com\/files\/2023\/06\/reservoir-recorded-music-418x120.jpg 418w, https:\/\/www.musicbusinessworldwide.com\/files\/2023\/06\/reservoir-recorded-music-648x187.jpg 648w, https:\/\/www.musicbusinessworldwide.com\/files\/2023\/06\/reservoir-recorded-music-836x241.jpg 836w, https:\/\/www.musicbusinessworldwide.com\/files\/2023\/06\/reservoir-recorded-music-1296x373.jpg 1296w\" data-sizes=\"auto\"><\/figure>\n<hr \/>\n<p>Numbers for fiscal Q4 were somewhat weaker than the FY numbers, which Reservoir Founder and CEO Golnar Khosrowshahi attributed to \u201ca difficult year-over-year comparable due to an exceptional fourth quarter in fiscal 2022.\u201d<\/p>\n<p>Total revenue came in at <strong>$34.8 million<\/strong> in fiscal Q4, a <span style=\"color: #ff0000\"><strong>1%<\/strong><\/span> decline from <strong>$35.1 million<\/strong> in fiscal Q4 2022. Music publishing revenue came in at <strong>$23.2 million<\/strong>, down <span style=\"color: #ff0000\"><strong>8% YoY<\/strong><\/span>, while recorded music revenue came in at <strong>$10.8 million<\/strong>, up <span style=\"color: #008000\"><strong>10% YoY<\/strong><\/span>.<\/p>\n<p>OIBDA for the fiscal quarter rose <span style=\"color: #008000\"><strong>3% YoY<\/strong><\/span> to <strong>$14.4 million<\/strong>, while adjusted EBITDA fell <span style=\"color: #ff0000\"><strong>2% YoY<\/strong><\/span> to <strong>$15.2 million<\/strong>. Our team\u2019s ability to partner with both legacy and emerging artists to drive value-additive deals is fundamental to our success and reputation as a caretaker of our artists\u2019 bodies of work.\u201d<\/p>\n<p>On the company\u2019s earnings call Wednesday, Heindlmeyer presented Reservoir\u2019s outlook for fiscal 2024, calling for revenue of between <strong>$127 million<\/strong> and <strong>$132 million<\/strong>, the mid-point of which would mean a <span style=\"color: #008000\"><strong>6% YoY<\/strong><\/span> increase. He predicted adjusted EBITDA in the <strong>$49 million-$52 million<\/strong> range, which at the mid-point would mean a <span style=\"color: #ff0000\"><strong>9% YoY<\/strong><\/span> increase.<\/p>\n<blockquote><p>&#8220;Our team\u2019s ability to partner with both legacy and emerging artists to drive value-additive deals is fundamental to our success and reputation as a caretaker of our artists\u2019 bodies of work.&#8221;<\/p>\n<p><span style=\"color: #000000\">Golnar Khosrowshahi, Reservoir Media<\/span><\/p><\/blockquote>\n<p>\u201cAs we look forward to what&#8217;s in store for fiscal 2024, we expect to close several accretive deals that will expand and diversify our portfolio of assets. We are also focused on effectively managing our operating expenses to further improve margins throughout the year,\u201d Heindlmeyer said on the call.<\/p>\n<p>Reservoir conducted a call with analysts on Wednesday (May 31) following the publication of its results. MBW listened in, and here are some of the highlights:<\/p>\n<hr \/>\n<h6><b>1. Reservoir wants to be \u2018the largest holder of Arabic music copyrights\u2019<\/b><\/h6>\n<p>Reservoir&#8217;s Founder and CEO devoted time on the earnings call to the company&#8217;s acquisitions in the Middle East and South Asia.<\/p>\n<p>\u201cWe\u2026 broadened our emerging market portfolio with the signing of Arab superstar Mohamed Ramadan, Egyptian label 100COPIES, Lebanese music company Voice of Beirut, Indian rappers MC Altaf and D&#8217;Evil, and producer Stunnah Beatz,\u201d said Khosrowshahi.<\/p>\n<p>\u201cExpanding our portfolio in these important emerging markets, but especially within the Middle East, is highly important to our overall strategy and a key differentiator for us,\u201d she added.<\/p>\n<p>\u201cWith our network and ability to purchase content at attractive multiples, this region presents significant opportunity as we work to become the largest holder of Arabic music copyrights.\u201d<\/p>\n<p><a class=\"link-relationship\" style=\"background: 0px 0px;color: unset !important;text-decoration: none;border-bottom: 1px dashed #ff7d00\" title=\"Companies &gt; Reservoir [203 articles]\" href=\"https:\/\/www.musicbusinessworldwide.com\/companies\/reservoir\/\">Reservoir, <\/a>\u00a0in conjunction with MENA-based music publisher and music company <a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/reservoir-invests-in-mena-via-poparabia-partnership-headed-by-spek\/\" target=\"_blank\" rel=\"noopener\">PopArabia<\/a> acquired Lebanese label and music publisher, Voice of Beirut in September.<\/p>\n<p>Reservoir <a href=\"https:\/\/www.musicbusinessworldwide.com\/reservoir-and-poparabia-acquire-lebanese-label-and-music-publisher-voice-of-beirut\/\" target=\"_blank\" rel=\"noopener\">said<\/a> at the time that the acquisition builds on its emerging markets strategy, \u201cfurther diversifying the company\u2019s music rights in the fast-growing MENA region\u201d.<\/p>\n<p>Reservoir and PopArabia\u00a0<a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/reservoir-and-pop-arabia-acquire-egyptian-record-label-100copies\/\" target=\"_blank\" rel=\"noopener\">acquired<\/a> Egyptian label 100COPIES in May last year, and also formed a joint venture with the company to sign and develop Egyptian talent.<\/p>\n<hr \/>\n<h6><b>2. Diversity is a key driver of the company\u2019s success<\/b><\/h6>\n<p>In recent years, we\u2019ve heard many businesses extol the benefits of diversity \u2013 be it demographic, or geographic, or in terms of an investment portfolio.<\/p>\n<p>But Reservoir Media is living proof of this adage, as the firm\u2019s execs note its capacity to invest in different markets around the world, and in vastly different genres, as a key way to maintain the business&#8217;s strength in potential future economic upheavals.<\/p>\n<p>\u201cWe&#8217;ve not only grown our catalog in fiscal 2023, but I&#8217;m really pleased about how we&#8217;ve added diversity across heroes and genres, which further insulates our business from broader market swings. Overall, we have not slowed down in our plans to build upon our robust roster of talented artists and creators,\u201d Khosrowshahi said on the call.<\/p>\n<p>That catalog is something to behold: According to an investor factsheet the company <a href=\"https:\/\/www.musicbusinessworldwide.com\/reservoir-has-spent-over-695m-on-catalogs-to-date-and-5-other-things-we-learned-about-the-company-from-its-new-investor-factsheet\/\">published earlier this year<\/a>, Reservoir had spent <strong>$695 million<\/strong> on music catalog M&amp;A as of the end of 2022.<\/p>\n<p>Aside from the acquisition of De La Soul\u2019s catalog, which brought the hip-hop group\u2019s music to streaming platforms for the first time, Khosrowshahi stressed Reservoir\u2019s deal with hip-hop producers Marley Marl and <a href=\"https:\/\/www.musicbusinessworldwide.com\/reservoir-buys-mannie-freshs-catalog-including-publishing-and-recorded-music-rights\/\">Mannie Fresh<\/a>.<\/p>\n<blockquote><p>\u201cWe&#8217;ve not only grown our catalog in fiscal 2023, but I&#8217;m really pleased about how we&#8217;ve added diversity across heroes and genres, which further insulates our business from broader market swings.&#8221;<\/p>\n<p><span style=\"color: #000000\">Golnar Khosrowshahi, Reservoir Media<\/span><\/p><\/blockquote>\n<p>Reservoir also expanded its portfolio of songwriter and producer Dennis Lambert\u2019s work, giving the company rights to such hits as Jefferson Starship\u2019s <em>We Built This City<\/em> and <em>Nightshift<\/em> by the Commodores.<\/p>\n<p>Plus, the company expanded its country music roster with a publishing deal with Christian Stalnecker, who co-wrote the hit <em>Thank God<\/em> by Kane Brown and Katelyn Brown.<\/p>\n<p>\u201cWe also continue to bolster our catalog with the additions of jazz legend Sonny Rollins; swing icon Louis Prima; and Rock and Roll Hall of Famers, Matt Sorum, Phil Manzanera and Dion,\u201d Khosrowshahi noted.<\/p>\n<p>But it\u2019s not just genre diversity that matters to Reservoir; geographic diversity is a major part of the company\u2019s strategy.<\/p>\n<p>Besides the ambitious target Reservoir has set for its MENA acquisitions, Khosrowshahi emphasized \u201ca notable expansion of our rights into Latin American music\u201d with the recent conclusion of a deal with <a href=\"https:\/\/www.musicbusinessworldwide.com\/reservoir-buys-rights-to-catalog-of-miami-sound-machine-co-founder-and-lead-songwriter-enrique-kiki-garcia\/\" target=\"_blank\" rel=\"noopener\">Miami Sound Machine co-founder<\/a> and lead songwriter Kiki Garcia, who wrote the band\u2019s hit song <em>Conga<\/em>.<\/p>\n<hr \/>\n<h6><b>3. AI isn\u2019t a threat to Reservoir\u2019s business model &#8211; it\u2019s an opportunity<\/b><\/h6>\n<p>While some music industry insiders have raised concerns about the impact of AI on the industry \u2013 especially on the topics of <a href=\"https:\/\/www.musicbusinessworldwide.com\/universal-music-group-responds-to-fake-drake-ai-track-streaming-platforms-have-a-fundamental-responsibility\/\" target=\"_blank\" rel=\"noopener\">unauthorized AI-generated tracks<\/a> that steal artists\u2019 voices, and the use of copyrighted material to train AI to create music \u2013 Reservoir Media sees the technology as an opportunity.<\/p>\n<p>While she stresses that he wants to \u201cmake sure all those issues are addressed,\u201d Khosrowshahi says she doesn\u2019t believe that AI \u201cposes a direct challenge to our business of monetizing musical artistry.\u201d<\/p>\n<blockquote><p>&#8220;Machine learning has the potential to be used as a tool in the industry in novel ways, improving upon our processes and creating greater efficiencies, particularly in micro-licensing and metadata management.&#8221;<\/p>\n<p><span style=\"color: #000000\">Golnar Khosrowshahi, Reservoir Media<\/span><\/p><\/blockquote>\n<p>\u201cAuto-generated music facsimiles and composites will have a place in the market and it will be exciting to see what forms that takes and how creators incorporate AI to inform and enhance their work,\u201d Khosrowshahi said.<\/p>\n<p>\u201cFurther, machine learning has the potential to be used as a tool in the industry in novel ways, improving upon our processes and creating greater efficiencies, particularly in micro-licensing and metadata management.<\/p>\n<p>&#8220;Our team is working to understand the potential opportunities for AI as well as ensuring our artists are properly compensated for their work by this new technology.\u201d<\/p>\n<hr \/>\n<h6><b>4. Reservoir expects slower revenue growth for 2024\u2026 or are they just managing expectations?<\/b><\/h6>\n<p>Reservoir\u2019s call for slower revenue growth in fiscal 2024 \u2013 the predicted <span style=\"color: #008000\"><strong>6%<\/strong><\/span> increase in its top line is less than half the <span style=\"color: #008000\"><strong>13%<\/strong><\/span> growth it saw in fiscal 2023 \u2013 surprised at least one analyst on the earnings call.<\/p>\n<p>Asked by Alex Fuhrman of Craig-Hallum Capital Group about the reasons for the conservative forecast, Heindlmeyer responded with a comment that suggests the company may just be managing expectations.<\/p>\n<p>\u201cWe want to be realistic in what we guide to, but we always strive to do better than where we set that bar,\u201d he said.<\/p>\n<p>Heindlmeyer suggested that Reservoir may be more focused on organic growth going forward, despite a still-ambitious M&amp;A agenda.<\/p>\n<p>Referring to Reservoir\u2019s $100 million<a href=\"https:\/\/www.musicbusinessworldwide.com\/reservoir-buys-tommy-boy-music-in-100m-deal\/\"> purchase of Tommy Boy Records in 2021<\/a> \u2013 the company that helped launch the careers of Queen Latifah, Coolio, De La Soul and Naughty By Nature, among others \u2013 Heindlmeyer said: \u201cWith respect to some of the opportunities over the past couple of years, when we have an acquisition like a Tommy Boy, where maybe we saw an opportunity for significant value enhancement, that\u2019s certainly going to allow us to \u2026 show results that have really good organic growth.\u201d<\/p>\n<p>But that doesn&#8217;t mean Reservoir is done with M&amp;A. \u201cWe\u2019re always looking for those types of [M&amp;A] opportunities,\u201d Heindlmeyere said.<\/p>\n<p>According to Khosrowshahi, Reservoir is looking at 250 potential targets for deals, with a current value of over <strong>$1.9 billion<\/strong>.<\/p>\n<p>Commenting on the size of the individual deals, Khosrowshahi added: &#8220;For the most part, we are looking at more of those deals that have historically been in our sweet spot that\u2019s around the sort of $40 million to $60 million range, but there are a couple of more sizable transactions in there.&#8221;<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Music rights company Reservoir Media published its FY fiscal 2023 results this week<\/p>\n","protected":false},"author":46,"featured_media":28761,"comment_status":"open","ping_status":"closed","sticky":false,"template":"","format":"standard","meta":{"_acf_changed":false,"footnotes":""},"categories":[7],"tags":[2264,130682,130806,1111],"class_list":["post-156200","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-news","tag-diversity","tag-earnings","tag-music-rights-acquisition","tag-reservoir-media"],"acf":[],"_links":{"self":[{"href":"https:\/\/www.musicbusinessworldwide.com\/wp-json\/wp\/v2\/posts\/156200","targetHints":{"allow":["GET"]}}],"collection":[{"href":"https:\/\/www.musicbusinessworldwide.com\/wp-json\/wp\/v2\/posts"}],"about":[{"href":"https:\/\/www.musicbusinessworldwide.com\/wp-json\/wp\/v2\/types\/post"}],"author":[{"embeddable":true,"href":"https:\/\/www.musicbusinessworldwide.com\/wp-json\/wp\/v2\/users\/46"}],"replies":[{"embeddable":true,"href":"https:\/\/www.musicbusinessworldwide.com\/wp-json\/wp\/v2\/comments?post=156200"}],"version-history":[{"count":0,"href":"https:\/\/www.musicbusinessworldwide.com\/wp-json\/wp\/v2\/posts\/156200\/revisions"}],"wp:featuredmedia":[{"embeddable":true,"href":"https:\/\/www.musicbusinessworldwide.com\/wp-json\/wp\/v2\/media\/28761"}],"wp:attachment":[{"href":"https:\/\/www.musicbusinessworldwide.com\/wp-json\/wp\/v2\/media?parent=156200"}],"wp:term":[{"taxonomy":"category","embeddable":true,"href":"https:\/\/www.musicbusinessworldwide.com\/wp-json\/wp\/v2\/categories?post=156200"},{"taxonomy":"post_tag","embeddable":true,"href":"https:\/\/www.musicbusinessworldwide.com\/wp-json\/wp\/v2\/tags?post=156200"}],"curies":[{"name":"wp","href":"https:\/\/api.w.org\/{rel}","templated":true}]}}
