{"id":229959,"date":"2025-04-28T10:14:05","date_gmt":"2025-04-28T09:14:05","guid":{"rendered":"https:\/\/www.musicbusinessworldwide.com\/?p=229959"},"modified":"2025-04-28T12:43:17","modified_gmt":"2025-04-28T11:43:17","slug":"impala-welcomes-eus-downtown-deal-probe-umg-remains-confident-775m-acquisition-will-close-in-h2-2025","status":"publish","type":"post","link":"https:\/\/www.musicbusinessworldwide.com\/impala-welcomes-eus-downtown-deal-probe-umg-remains-confident-775m-acquisition-will-close-in-h2-2025\/","title":{"rendered":"IMPALA welcomes EU\u2019s Downtown deal probe; UMG remains \u2018confident\u2019 $775M acquisition will close in H2 2025"},"content":{"rendered":"<p class=\"p1\">Brussels-based <b>IMPALA<\/b>, which represents over <b>6,000<\/b> independent music companies in Europe, has welcomed the European Commission&#8217;s <a href=\"https:\/\/www.musicbusinessworldwide.com\/confirmed-european-competition-regulator-to-assess-umgs-775m-acquisition-of-downtown-music\/\" target=\"_blank\" rel=\"noopener\">decision<\/a> to investigate Universal Music Group&#8217;s proposed $775 million acquisition of Downtown Music Holdings.<\/p>\n<p class=\"p1\">\u201cWe welcome this news and stand ready to collaborate fully with the European Commission throughout its assessment of the merger,\u201d said <b>Helen<\/b> <b>Smith<\/b>, <b>IMPALA<\/b> Executive Chair.<\/p>\n<p class=\"p1\">The probe was triggered by requests submitted by Austria and the Netherlands to assess the deal that would see UMG\u2019s<b> Virgin Music Group<\/b><a href=\"https:\/\/www.musicbusinessworldwide.com\/universals-music-group-buys-downtown-music-for-775-million\/\" target=\"_blank\" rel=\"noopener\"> take control<\/a> of <b>Downtown<\/b>\u2019s portfolio of music services.<\/p>\n<p class=\"p1\">\u201cThe scale of disruption across Europe means it&#8217;s right for the EU to do the assessment. We are confident that we will close this acquisition in the second half of the year, on its original timeline,\u201d <strong>UMG<\/strong> said in a statement issued to <i>MBW.<\/i><\/p>\n<p class=\"p1\">The Commission&#8217;s decision to <a href=\"https:\/\/www.musicbusinessworldwide.com\/confirmed-european-competition-regulator-to-assess-umgs-775m-acquisition-of-downtown-music\/\" target=\"_blank\" rel=\"noopener\">investigate<\/a> comes after concerns raised at national level, according to Smith.<\/p>\n<p class=\"p1\">In its announcement on Friday (April 25), the EU regulator cited concerns that \u201cthe transaction threatens to significantly affect competition in certain markets of the music value chain, where both companies are active, in Austria and in the Netherlands, as well as in many other Member States.\u201d<\/p>\n<blockquote>\n<p class=\"p1\">&#8220;We are confident that we will close this acquisition in the second half of the year, on its original timeline.&#8221;<\/p>\n<p><span style=\"color: #000000;\">Universal Music Group<\/span><\/p><\/blockquote>\n<p class=\"p1\">\u201cThe Commission has therefore concluded that it is best placed to examine the transaction. The Commission has asked UMG to notify the transaction,\u201d it said.<\/p>\n<p class=\"p1\">IMPALA argued that the Downtown acquisition is part of UMG\u2019s broader pattern of acquisitions including its recent purchases of<b><a href=\"https:\/\/www.musicbusinessworldwide.com\/universal-music-group-completes-acquisition-of-pias\/\" target=\"_blank\" rel=\"noopener\"> [PIAS]<\/a> <\/b>and<a href=\"https:\/\/www.musicbusinessworldwide.com\/universal-acquires-netherlands-based-indie-music-company-8ball\/\" target=\"_blank\" rel=\"noopener\"><b> 8Ball Music<\/b><\/a>. The organization had earlier accused UMG of <a href=\"https:\/\/www.musicbusinessworldwide.com\/martin-mills-and-impala-accuse-universal-of-land-grab-over-virgin-musics-775m-downtown-acquisition\/\" target=\"_blank\" rel=\"noopener\">committing a \u201cland grab\u201d<\/a> in the indie sector, and is now characterizing UMG\u2019s moves as a \u201c&#8217;juggernaut&#8217; strategy of serial acquisitions rolling up strategic businesses and pushing its streaming agenda onto DSPs.\u201d<\/p>\n<p class=\"p1\">The organization noted that the EU investigation represents them most significant regulatory hurdle for UMG after the Commission <a href=\"https:\/\/www.musicbusinessworldwide.com\/emi-music-buyout-the-ecs-rules-universal-must-not-break\/\" target=\"_blank\" rel=\"noopener\">banned<\/a> UMG from making a wide range of deals in Europe in 2012 following its <a href=\"https:\/\/www.musicbusinessworldwide.com\/universal-music-completes-acquisition-of-emi-music\/\" target=\"_blank\" rel=\"noopener\">acquisition<\/a> of <b>EMI<\/b> <b>Music<\/b>. We call on the UK to follow, given the importance of the music market to the UK economy. The music sector deserves to remain innovative and accessible to all,\u201d said Davy.<\/p>\n<p class=\"p1\">Universal&#8217;s confidence that the deal will proceed as planned suggests the company may be prepared to address regulatory concerns. However, IMPALA\u2019s Smith said, \u201cLike any sector, the music market needs big companies of course, as we already flagged, there is simply a point at which big is too big.
