{"id":23011,"date":"2016-08-01T22:26:15","date_gmt":"2016-08-01T21:26:15","guid":{"rendered":"https:\/\/www.musicbusinessworldwide.com\/?p=23011"},"modified":"2016-08-01T23:11:18","modified_gmt":"2016-08-01T22:11:18","slug":"sonys-750m-buyout-sonyatv-cleared-europe","status":"publish","type":"post","link":"https:\/\/www.musicbusinessworldwide.com\/sonys-750m-buyout-sonyatv-cleared-europe\/","title":{"rendered":"Sony&#8217;s $750m buyout of Sony\/ATV has been cleared in Europe"},"content":{"rendered":"<p><strong>Sony Corporation<\/strong> has been granted unconditional permission by the European Commission to complete its buyout of the Jackson Estate&#8217;s 50% stake in <strong>Sony\/ATV<\/strong>.<\/p>\n<p>The deal faced fierce opposition from quarters including <strong>Warner Music Group<\/strong> and indie label body <strong>IMPALA<\/strong>, but EC regulators today (August 1) ruled in Sony&#8217;s favour.<\/p>\n<p>&#8220;The transaction will not materially increase <strong>Sony&#8217;s<\/strong> market power vis-a-vis digital music providers compared to the situation prior to the merger,&#8221; the EU competition watchdog <a href=\"https:\/\/www.reuters.com\/article\/us-sony-music-jackson-idUSKCN10C2TZ\">said in a statement<\/a>.<\/p>\n<p>Sony&#8217;s $750m acquisition of the half in <strong>Sony\/ATV<\/strong> it didn&#8217;t previously own will undoubtedly add significant market influence to the company.<\/p>\n<p>Sony\/ATV is currently 50% owned by <strong>Sony Corporation of America<\/strong>.<\/p>\n<blockquote><p>&#8220;The transaction will not materially increase Sony&#8217;s Market power vis-a-vis digital music providers.&#8221;<\/p>\n<p><span style=\"color: #000000;\">EU Competition watchdog<\/span><\/p><\/blockquote>\n<p>By tying up the Jackson Estate deal, Sony becomes the third major to take full global control of a publishing company after Warner Music Group (<strong>Warner\/Chappell<\/strong>) and Universal Music Group (<strong>Universal Music Publishing Group<\/strong>).<\/p>\n<p>As reported on MBW last week, <strong>Sony\/ATV<\/strong> is already by far the biggest publisher in the world in terms of the volume of copyrights it controls.<\/p>\n<p>Across both its own repertoire and its administration of the catalogue of <strong>EMI Music Publishing<\/strong>, <a href=\"https:\/\/www.musicbusinessworldwide.com\/sonyatv-revenues-fall-12-as-its-copyright-count-blasts-through-4-21m\/\">Sony manages over <strong>4.2m songs<\/strong>.<\/a><\/p>\n<figure class=\"mbw-articlepic mbw-articlepic--center\"><a href=\"https:\/\/www.musicbusinessworldwide.com\/files\/2016\/07\/IMG_0321.png\"><img  alt=\"IMG_0321\" title=\"IMG_0321\" class=\"lazyload\" src=\"https:\/\/www.musicbusinessworldwide.com\/files\/2016\/07\/IMG_0321-80x60.png\" data-srcset=\"https:\/\/www.musicbusinessworldwide.com\/files\/2016\/07\/IMG_0321-80x60.png 80w, https:\/\/www.musicbusinessworldwide.com\/files\/2016\/07\/IMG_0321-160x120.png 160w, https:\/\/www.musicbusinessworldwide.com\/files\/2016\/07\/IMG_0321-320x240.png 320w, https:\/\/www.musicbusinessworldwide.com\/files\/2016\/07\/IMG_0321-418x314.png 418w, https:\/\/www.musicbusinessworldwide.com\/files\/2016\/07\/IMG_0321-648x486.png 648w, https:\/\/www.musicbusinessworldwide.com\/files\/2016\/07\/IMG_0321-836x627.png 836w, https:\/\/www.musicbusinessworldwide.com\/files\/2016\/07\/IMG_0321-1296x972.png 1296w\" data-sizes=\"auto\"><\/a><\/figure>\n<hr \/>\n<p>Opponents to Sony&#8217;s acquisition of <strong>Sony\/ATV<\/strong> told EC regulators that its subsequent &#8216;control share&#8217; would distort the music marketplace.<\/p>\n<p>\u2018Control share\u2019 is a measure by which a company\u2019s ownership of both publishing and master rights is estimated.<\/p>\n<p>Some suggested that, had the deal gone through last year, Sony&#8217;s &#8216;control share&#8217; of 2015\u2019s Top 100 singles chart would have exceeded <strong>60%<\/strong> in at least two European countries.<\/p>\n<p>If true, it would have meant that &#8211; across all music rights &#8211; Sony Corp (as 100% owner of Sony\/ATV) would be a significantly bigger player in these markets than even <strong>Universal Music Group<\/strong>.<\/p>\n<p>Even those that gripe about Sony&#8217;s resultant market power, however, may be happy to note that the Jackson Estate sold to Sony&#8230; as opposed to Google, which was <a href=\"https:\/\/www.musicbusinessworldwide.com\/google-wanted-to-buy-michael-jacksons-750m-stake-in-sonyatv\/\">apparently also interested in making a bid for the asset.<\/a><\/p>\n<hr \/>\n<p>Some assumed the European Commission may have given the <strong>Sony\/ATV<\/strong> deal a rougher ride &#8211; with recent history showing that the EC is more than capable of standing up to major music market acquisitions.<\/p>\n<p>Back in 2012, both Warner and IMPALA lobbied against <a href=\"https:\/\/www.musicbusinessworldwide.com\/universal-music-completes-acquisition-of-emi-music\/\">Universal Music Group\u2019s \u00a31.2bn ($1.9bn) acquisition of EMI Music<\/a> in the EU.<\/p>\n<p>Although the deal was ultimately given the green light, UMG faced some disappointing conditions in Europe \u2013 most notably, being forced to sell Parlophone Label Group.<\/p>\n<p>PLG &#8211; including the catalogues of David Bowie, Pink Floyd, Blur, Kate Bush and Coldplay &#8211; was subsequently sold to <a href=\"https:\/\/www.musicbusinessworldwide.com\/warner-buys-parlophone-from-umg-for-487m\/\">Warner Music Group for \u00a3487m ($740m).<\/a><\/p>\n<p>Also in 2012, Sony\/ATV (in a consortium alongside the Jackson estate, plus Mubadala and others) purchased <strong>EMI Music Publishing<\/strong> &#8211;
