(IMPALA itself is a WIN member.)<\/p>\n      <div class=\"mb-advert__incontent\">      <div class=\"mb-advert mb-advert__spu\" data-loaded=\"no\" data-name=\"300x250 Sponsor MPU #1\" data-params=\"dfp_spu1\" id=\"dfp_spu1\"><\/div>      <\/div>      \n<p>Further signatories of the letter include <strong>Charles Caldas<\/strong>, co-founder of Exceleration Music, which launched in 2021 with &#8220;substantial investment capital&#8221; to acquire and roll up independent music companies.<\/p>\n<p>The latest company <a href=\"https:\/\/www.musicbusinessworldwide.com\/cooking-vinyl-a-prominent-uk-independent-label-acquired-by-exceleration-music\/\" target=\"_blank\" rel=\"noopener\">acquired by Exceleration<\/a> \u2013 <strong>Cooking Vinyl<\/strong> \u2013 is also on the IMPALA letter, courtesy of its founder, Martin Goldschmidt.<\/p>\n<p>Other recently-acquired indies that have signed the letter include <strong>!K7<\/strong>, which was <a href=\"https:\/\/www.musicbusinessworldwide.com\/create-music-group-acquires-the-late-horst-weidenmullers-k7-music\/\" target=\"_blank\" rel=\"noopener\">bought in April<\/a> by the US-based <strong>Create Music Group<\/strong>.<\/p>\n<p>Independent distribution\/services company Create was valued at <strong>USD $1 billion<\/strong> last year, following investment from Chicago-HQ&#8217;d private equity company, <strong>Flexpoint Ford<\/strong>.<\/p>\n<p>Additional well-known indies represented on the IMPALA letter include <strong>Domino, Epitaph, Hopeless, Sub Pop, <\/strong>and <strong>Playground<\/strong>, who are all members \u2013 alongside Beggars and Secretly \u2013 of the Organization for Recorded Culture and Arts (ORCA), a <a href=\"https:\/\/www.musicbusinessworldwide.com\/indie-music-labels-form-orca-a-think-tank-for-recorded-culture-and-arts\/\" target=\"_blank\" rel=\"noopener\">think tank for premium indie labels.<\/a><\/p>\n<p>(ORCA members not represented on the IMPALA letter include <strong>Ninja Tune, Partisan Records<\/strong>, and <strong>Because Music<\/strong>.)<\/p>\n<p>Elsewhere, the letter is signed by <strong>Blue Raincoat Music\/Chrysalis Records<\/strong>, which is owned by the NASDAQ-traded <strong>Reservoir Media.<\/strong><\/p>\n<p class=\"p1\">      <div class=\"mb-advert__incontent\">      <div class=\"mb-advert mb-advert__spu\" data-loaded=\"no\" data-name=\"300x250 Sponsor MPU #2\" data-params=\"dfp_spu2\" id=\"dfp_spu2\"><\/div>      <\/div>      <\/p>\n<p>UMG\u2019s Virgin Music Group\u00a0<a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/universals-music-group-buys-downtown-music-for-775-million\/\"><span class=\"s1\">revealed\u00a0<\/span><\/a>in December that it had agreed to buy\u00a0<b><a class=\"link-relationship\" title=\"Companies &gt; Downtown Music Holdings [470 articles]\" href=\"https:\/\/www.musicbusinessworldwide.com\/companies\/downtown-music-holdings\/\">Downtown Music Holdings<\/a> LLC in\u00a0a $775 million <\/b>deal<b>.\u00a0<\/b><\/p>\n<p>The EC then revealed in April that it was <a class=\"link-internal\" href=\"https:\/\/www.musicbusinessworldwide.com\/confirmed-european-competition-regulator-to-assess-umgs-775m-acquisition-of-downtown-music\/\" target=\"_blank\" rel=\"noopener\">preparing to<\/a> investigate the proposed deal.<\/p>\n<p>The letter, addressed to Executive Vice-President <strong>Teresa Ribera<\/strong> at the European Commission, arrives two weeks before the EC&#8217;s provisional July 22 deadline to make its decision in an initial Phase 1 investigation into the proposed acquisition. We normally write about music and culture and today we are also reaching out about competition.<\/em><\/p>\n<p><em>On behalf of the independent music community, we are writing to express our serious concerns regarding the proposed acquisition of Downtown Music Holdings LLC (\u201cDowntown\u201d) by Universal Music Group N.V. (\u201cUMG\u201d), currently under investigation by the European Commission \u2013 Case M.11956.<\/em><\/p>\n<p><em>The music industry in the EU is a cultural and economic success story, with recorded music revenue growing at 8.7% in 2023 and valued at \u20ac5.2 billion2. It is home to some of the most recognisable names in music, alongside thriving independent businesses.<\/em><\/p>\n<p><em>But we can\u2019t take this for granted. While the EU\u2019s music industry is indeed growing, this growth is uneven and lags behind other global markets. At the same time, changes are being made to how streaming revenues are shared, over which the independent sector has no say. A level playing field is essential to support a thriving music ecosystem that delivers benefits for the economy, culture and innovation.<\/em><\/p>\n<p><em>Everyone has a role to play \u2013 from the biggest music company in the world to the independent disruptive start-up uncovering new genres and sounds. But when acquisitions like this one occur and start to tip the scales too far, we must act.<\/em><\/p>\n<p><em>The proposed acquisition by UMG represents a serious risk to that balance. Across Europe, UMG already controls over 40% of the recorded music market \u2013 near double the second biggest player3. By absorbing Downtown\u2019s distribution, royalty accounting, and rights management capabilities \u2013 services used by thousands of companies and artists across the independent sector \u2013 UMG would further entrench its already significant market power.<\/em><\/p>\n<p><em>The deal would place a significant chunk of essential infrastructure under the control of the market leader. Many independent music businesses are already tied to Downtown\u2019s services, meaning that we would have to rely on our biggest competitor to connect our artists and their music to their fans.<\/em><\/p>\n<p><em>That\u2019s why it\u2019s critical that the deal is reviewed through the lens of its \u201ccontrol share\u201d over the digital markets economy, as well as the physical market, not just share by revenue.<\/em><\/p>\n<p><em>This isn\u2019t just a simple \u201cinvestment\u201d in one of the world\u2019s most prominent independent companies; it is about control.<\/em><\/p>\n<p><em>The implications are profound. This consolidation would further enable UMG to act as a gatekeeper to some of the sector\u2019s best services, shaping which music is heard, promoted, and monetised. Such power carries risks not only to the commercial fortunes of independent businesses, but to the creative breadth and diversity of music itself.<\/em><\/p>\n<p><em>A concentration of this magnitude would narrow the range of voices, styles, and cultures that reach the public. It would give UMG further power to shape digital services, influence monetisation thresholds and extract more, at the expense of the independent sector. That would reduce choice for consumers, stifle experimentation, and undermine Europe\u2019s role as a vibrant incubator of musical and artistic expression. Fans will hear less of the new and more of the same. Artists working outside the commercial mainstream will struggle to find traction. And a once-thriving creative economy will begin to stagnate.<\/em><\/p>\n<p><em>This acquisition also provides a key competitive advantage by allowing UMG to collect data from rivals using its services. This data is far reaching, from distribution information &#8211; including artists and song trends, and performance on digital platforms &#8211; all the way through to critical business information such as pricing, contractual terms and strategic relationships. Being able to access all of this data would give UMG backdoor access to other competing businesses in the market and strengthen its already advantageous position even further.<\/em><\/p>\n<p><em>Independent music companies play a vital role in promoting music innovation, fostering diversity and protecting culture. To fulfil that role, we must have fair and non-discriminatory access to the best infrastructure in the music economy. And not be forced into structural dependence on our biggest competitor who is also shifting payment models on digital services.<\/em><\/p>\n<p><em>We therefore urge the European Commission to open a detailed phase two investigation to examine the deeper structural consequences of this transaction.
