{"id":236148,"date":"2025-07-14T19:45:52","date_gmt":"2025-07-14T18:45:52","guid":{"rendered":"https:\/\/www.musicbusinessworldwide.com\/?p=236148"},"modified":"2025-07-14T20:42:17","modified_gmt":"2025-07-14T19:42:17","slug":"lyricfind-files-opposition-to-musixmatch-motion-to-dismiss-antitrust-lawsuit","status":"publish","type":"post","link":"https:\/\/www.musicbusinessworldwide.com\/lyricfind-files-opposition-to-musixmatch-motion-to-dismiss-antitrust-lawsuit\/","title":{"rendered":"LyricFind files opposition to Musixmatch motion to dismiss antitrust lawsuit"},"content":{"rendered":"<p>Song lyrics company LyricFind alleges that a major investor in its primary rival, Musixmatch, attempted to \u201cbuy or bury\u201d the company in order to stave off competition, in documents related to LyricFind\u2019s antitrust lawsuit against Musixmatch.<\/p>\n<p>The allegation was made in <strong>LyricFind<\/strong>\u2019s legal complaint against <strong>Musixmatch<\/strong> filed in March of this year, but was redacted from publicly available versions of the document. LyricFind has now released the unredacted version.<\/p>\n<p>Because of a &#8220;competitive threat&#8221; from LyricFind, Musixmatch and its investor TPG &#8220;embarked on a multi-faceted \u2018buy or bury\u2019 scheme to exclude LyricFind and other providers from the market so it could continue charging unlawfully inflated prices without the risk of losing business.\u201d LyricFind said in the complaint.<\/p>\n<p><span style=\"font-weight: 400;\">      <div class=\"mb-advert__incontent\">      <div class=\"mb-advert mb-advert__tweeny hidden-xs hidden-ms hidden-sm\" data-loaded=\"no\" data-sizes=\"992 1200 1440\" data-name=\"628x90 Sponsor banner #5 (992+1200+1440)\" data-params=\"dfp_sponsor5_628\" id=\"dfp_sponsor5_628\"><\/div>      <div class=\"mb-advert mb-advert__banner mb-advert__banner--inline hidden-xs hidden-sm hidden-md hidden-lg\" data-loaded=\"no\" data-sizes=\"480\" data-name=\"468x60 Sponsor banner #5 (480)\" data-params=\"dfp_sponsor5_468\" id=\"dfp_sponsor5_468\"><\/div>      <div class=\"mb-advert mb-advert__mobile mb-advert__mobile--inline hidden-ms hidden-md hidden-lg\" data-loaded=\"no\" data-sizes=\"320 768\" data-name=\"300x50 Sponsor banner #5 (320+768)\" data-params=\"dfp_sponsor5_300\" id=\"dfp_sponsor5_300\"><\/div>      <\/div>      <\/span><\/p>\n<p>The complaint alleges that, in 2023, TPG attempted to acquire LyricFind \u201cso that Musixmatch would no longer have to compete with it.\u201d During that process, TPG and Musixmatch gained access to confidential LyricFind information, which was covered by a non-disclosure agreement. LyricFind alleges that TPG and Musixmatch violated that NDA by leaking information to <strong>Spotify<\/strong> \u201cin the hopes that doing so would help them avoid competing on price or quality.\u201d<\/p>\n<p>When discussions between LyricFind and Spotify continued despite the leak, LyricFind alleges, Musixmatch switched tactics and signed an agreement with publisher <strong>Warner Chappell Music<\/strong> (<strong>WCM<\/strong>) that made Musixmatch the exclusive provider of lyrics rights licensing and lyric data services for songs published by WCM.<\/p>\n<p>That agreement is at the core of the antitrust lawsuit that LyricFind <a href=\"https:\/\/www.musicbusinessworldwide.com\/lyricfind-sues-musixmatch-for-alleged-antitrust-violations\/\" target=\"_blank\" rel=\"noopener\">filed against Musixmatch and TPG<\/a> in a US District Court in San Francisco in March.<\/p>\n<p>LyricFind argued that the agreement was meant to push it out of the lyrics marketplace by removing its ability to provide a comprehensive catalog of lyrics, and that it also ties the hands of music streaming services like Spotify, as they now have to license WCM lyrics through Musixmatch &#8220;at monopolistic prices.&#8221;<\/p>\n<p><span style=\"font-weight: 400;\">      <div class=\"mb-advert__incontent\">      <div class=\"mb-advert mb-advert__spu\" data-loaded=\"no\" data-name=\"300x250 Sponsor MPU #1\" data-params=\"dfp_spu1\" id=\"dfp_spu1\"><\/div>      <\/div>      <\/span><\/p>\n<p>Notably, LyricFind has cut at least one <a href=\"https:\/\/www.digitalmusicnews.com\/2014\/05\/22\/lyricfind-strikes-groundbreaking-deal-universal-music-publishing-group\/\" target=\"_blank\" rel=\"noopener\">exclusive licensing deal of its own<\/a>, with <strong>Universal Music Publishing Group<\/strong> in 2014, which gave LyricFind exclusive rights to sublicense UMPG lyrics, though UMPG retains the right to license its lyrics directly.<\/p>\n<div dir=\"ltr\">\u201cLyricFind filed a nuisance lawsuit against Musixmatch, complaining about the same type of licensing practices that it has used in the recent past,&#8221; a Musixmatch spokesperson told <em>MBW<\/em>.<\/div>\n<div dir=\"ltr\"><\/div>\n<div dir=\"ltr\">&#8220;LyricFind is now accusing Musixmatch of foul play and hiding behind the copyright laws, when in reality it is precisely those laws that ensure rights owners have a choice about who they do business with and that songwriters are compensated for their creative works. LyricFind\u2019s misguided attempt to recover in court what it couldn\u2019t win in the market place would infringe upon and limit the choices that music rights holders make.\u201d<\/div>\n<div dir=\"ltr\"><\/div>\n<div dir=\"ltr\"><span style=\"font-weight: 400;\">      <div class=\"mb-advert__incontent\">      <div class=\"mb-advert mb-advert__spu\" data-loaded=\"no\" data-name=\"300x250 Sponsor MPU #2\" data-params=\"dfp_spu2\" id=\"dfp_spu2\"><\/div>      <\/div>      <\/span><\/div>\n<div dir=\"ltr\"><\/div>\n<p>LyricFind has argued it&#8217;s fighting on behalf music streaming platforms. In an open letter earlier this year, Founder and CEO <strong>Darryl Ballantyne<\/strong> said Spotify had &#8220;completed onboarding with LyricFind but were robbed [of[ the opportunity to select the lyric provider of its choice\u201d as a result of the Musixmatch-WCM deal.<\/p>\n<p>Musixmatch has called the lawsuit \u201cmeritless,\u201d and both it and TPG filed motions to dismiss the case. In its motion, <a href=\"https:\/\/www.musicbusinessworldwide.com\/musixmatch-files-motion-to-dismiss-lyricfinds-antitrust-lawsuit\/\" target=\"_blank\" rel=\"noopener\">filed in June<\/a>, Musixmatch said Warner Chappell, as the owner of publishing copyrights, has the right to sign exclusivity agreements.<\/p>\n<p>\u201cLyricFind has not sued WCM or challenged the lawfulness of WCM\u2019s decision to end their relationship, and for good reason: under the U.S. Copyright Act, WCM indisputably has the right to exclusively license and distribute its intellectual property as it sees fit, and has exercised that right by contracting with Musixmatch,\u201d stated the motion, which can be read in full <a href=\"https:\/\/www.musicbusinessworldwide.com\/files\/2025\/07\/LyricFind-v-Musixmatch-motion-to-dismiss.pdf\" target=\"_blank\" rel=\"noopener\">here<\/a>.<\/p>\n<blockquote><p>&#8220;LyricFind\u2019s misguided attempt to recover in court what it couldn\u2019t win in the market place would infringe upon and limit the choices that music rights holders make.\u201d<\/p>\n<p><span style=\"color: #000000;\">Musixmatch<\/span><\/p><\/blockquote>\n<p>Musixmatch also argued that the California court doesn\u2019t have jurisdiction in the matter, as LyricFind is a Canadian company, Musixmatch is Italian, and the agreement between WCM and Musixmatch is governed by the laws of the United Kingdom.<\/p>\n<p>\u201cLyricFind\u2019s claims are a textbook example of a disappointed competitor seeking to use the courts to achieve what it could not in the marketplace. But LyricFind, a foreign plaintiff, has neither the right to hale Musixmatch, a foreign defendant, before California courts, nor has it pled any plausible claims that would entitle it to any relief,\u201d Musixmatch stated in its motion to dismiss.<\/p>\n<p>In a response to that motion, <a href=\"https:\/\/www.musicbusinessworldwide.com\/files\/2025\/07\/FILED-VERSION-LyricFinds-Opposition-to-Musixmatchs-Motion-to-Dismiss.pdf\" target=\"_blank\" rel=\"noopener\">filed with the court<\/a> on Thursday (July 10), LyricFind argued that the federal court in California has jurisdiction because Musixmatch \u201cpurposefully directed its anti-competitive conduct at the United States and California. The United States is the epicenter of the lyric-services industry, home to WCM\u2019s licensing business, much of Musixmatch\u2019s leadership, and nearly all major DSPs impacted\u201d by the Musixmatch-WCM agreement.<\/p>\n<blockquote><p>&#8220;[Musixmatch] are grasping at straws to keep this case from going to trial.&#8221;<\/p>\n<p><span style=\"color: #000000;\">Darryl Ballantyne, LyricFind<\/span><\/p><\/blockquote>\n<p>It also rejected Musixmatch\u2019s argument that WCM had a right to enter into the contract.<\/p>\n<p>\u201cCourts have long condemned exclusivity schemes like the [Musixmatch-WCM deal], where a seller or distributor forecloses its rivals\u2019 access to key inputs, thereby driving them from the market, so it can raise prices\u2026.<\/p>\n<p>\u201cCopyright law does not shield Musixmatch from antitrust liability. Courts have consistently rejected the notion that exclusivity arrangements involving intellectual property are beyond the reach of the Sherman Act,\u201d LyricFind added, referring to the US\u2019s principal antitrust law.<\/p>\n<p>In a statement to media, LyricFind\u2019s Ballantyne said the Musixmatch and TPG dismissal motions \u201cmisrepresent the reality of lyric licensing, and those in the music industry will see through their arguments.
