The MBW Review is\u00a0<a href=\"https:\/\/www.weareinstrumental.com\/get-a-demo\/utm_source=mbw&amp;utm_medium=mbw&amp;utm_campaign=MBW_endtext\" target=\"_blank\" rel=\"noopener noreferrer\">supported by Instrumental.<\/a><\/p>\n<hr \/>\n<p>Back in summer 2009, rumblings began to indicate that the major labels and Merlin had been granted equity stakes in the hot new Swedish startup, Spotify.<\/p>\n<p>Initial reports out of Scandinavia suggested that the biggest of those stakes was taken by Sony BMG, on 5.8%, with Universal on 4.8% and Warner on 3.8%.<\/p>\n<p>This was followed up by<a href=\"https:\/\/techcrunch.com\/2009\/08\/07\/this-is-quite-possibly-the-spotify-cap-table\/\" target=\"_blank\" rel=\"noopener noreferrer\"> TechCrunch<\/a>, which said it had gained access to &#8216;unverified capitalization table information&#8217; and could largely back up these figures.<\/p>\n<p>This, however, came with a slightly unsure qualification: TechCrunch said it believed these numbers were either &#8220;largely or completely accurate&#8221;.<\/p>\n<p>Today, MBW can finally put any doubts to rest: the numbers were wrong.<\/p>\n<p>Slightly.<\/p>\n<hr \/>\n<figure class=\"mbw-articlepic mbw-articlepic--center\"><a href=\"https:\/\/www.weareinstrumental.com\/get-a-demo\/utm_source=mbw&amp;utm_medium=mbw&amp;utm_campaign=MBW_endtext\" target=\"_blank\" rel=\"noopener noreferrer\"><img  class=\"lazyload\" src=\"https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/instrumental_mbw_628_90_v2-1.gif\" data-src=\"https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/instrumental_mbw_628_90_v2-1.gif\" ><\/a><\/figure>\n<hr \/>\n<p>We&#8217;ve just spent a day digging around on Luxembourg&#8217;s equivalent of Companies House &#8211; where Spotify remains established as a commercial entity. And we found a rather revelatory document amongst the deluge.<\/p>\n<p>It was originally published in December 2008, you can<a href=\"https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/MBWSpotifyshares.png\" target=\"_blank\" rel=\"noopener noreferrer\"> download the relevant part here<\/a>, and it clearly shows three important things:<\/p>\n<ul><li>(i) The major labels plus Merlin were given a total of 352,176 shares in Spotify in 2008 for an (amazingly cheap) nominal sum of \u20ac8,804.40;<\/li><li>(ii) Spotify&#8217;s total share count at the time, after the issuance of the music companies&#8217; shares, was 1,956,531;<\/li><li>(iii) The relevant parties &#8211; Sony BMG, Universal, Warner, EMI and Merlin &#8211; were each given a round number % slice of Spotify&#8217;s 1,956,531 shares. which amounted to 6% of Spotify&#8217;s entire company in 2008.<\/p>\n<p>Next up was Universal, with 97,827 (5%).<\/p>\n<p>UMG, of course, eventually acquired EMI Records Ltd,\u00a0and therefore swallowed its 2% share &#8211; giving Universal a 7% total stake in Spotify, retrospectively speaking, in 2008.<\/p>\n<p>Warner got given 78,261 shares &#8211; worth 4% of the Spotify business in 2008 &#8211; and Merlin took home 19,565, worth exactly 1%.<\/p>\n<p>The repeated use of &#8216;in 2008&#8217; the global indie label agency &#8211; has <a href=\"https:\/\/www.musicbusinessworldwide.com\/merlin-cashed-in-its-entire-stake-in-spotify-following-sony-and-warner-sell-offs\/\" target=\"_blank\" rel=\"noopener noreferrer\">cashed in its entire shareholding in Spotify for an undisclosed sum.<\/a><\/p>\n<p>It&#8217;s done so little over a month after Spotify &#8211;\u00a0with a current market cap in excess of <strong>$28.5bn <\/strong>&#8211;\u00a0floated on the New York Stock Exchange on April 3.<\/p>\n<p>The Merlin news also comes two weeks after we learned that <a href=\"https:\/\/www.musicbusinessworldwide.com\/sony-has-cashed-in-50-of-its-spotify-shares-generating-around-750m\/\" target=\"_blank\" rel=\"noopener noreferrer\">Sony banked 50% of its shares in Spotify for around <strong>$750m<\/strong><\/a>, and seven days after we reported that\u00a0<a href=\"https:\/\/www.musicbusinessworldwide.com\/warner-has-sold-400m-of-spotify-stock-and-says-it-will-share-the-money-with-artists-and-labels\/\" target=\"_blank\" rel=\"noopener noreferrer\">Warner had banked 75% of its shares for approximately $400m.<\/a><\/p>\n<p>The obvious question, then: can we work out from the above stats how much money Merlin just took out of Spotify by selling its shares?<\/p>\n<p>The short answer is no.<\/p>\n<p>The longer answer is, yes, probably.<\/p>\n<p>But we&#8217;re going to have to crunch a few more numbers first.<\/p>\n<hr \/>\n<figure class=\"mbw-articlepic mbw-articlepic--right\"><img  class=\"lazyload\" data-srcset=\"https:\/\/www.musicbusinessworldwide.com\/files\/2015\/03\/Screen-shot-2015-03-19-at-09.02.56-80x50.png 80w, https:\/\/www.musicbusinessworldwide.com\/files\/2015\/03\/Screen-shot-2015-03-19-at-09.02.56-160x100.png 160w, https:\/\/www.musicbusinessworldwide.com\/files\/2015\/03\/Screen-shot-2015-03-19-at-09.02.56-320x201.png 320w, https:\/\/www.musicbusinessworldwide.com\/files\/2015\/03\/Screen-shot-2015-03-19-at-09.02.56-418x263.png 418w, https:\/\/www.musicbusinessworldwide.com\/files\/2015\/03\/Screen-shot-2015-03-19-at-09.02.56-648x407.png 648w, https:\/\/www.musicbusinessworldwide.com\/files\/2015\/03\/Screen-shot-2015-03-19-at-09.02.56-836x525.png 836w\" data-sizes=\"auto\"><\/figure><p>Let&#8217;s, for a moment, further examine Warner Music Group&#8217;s sale of its stake in Spotify.<\/p>\n<p>WMG officially announced last Monday (May 7), that it had<a href=\"https:\/\/www.musicbusinessworldwide.com\/warner-has-sold-400m-of-spotify-stock-and-says-it-will-share-the-money-with-artists-and-labels\/\" target=\"_blank\" rel=\"noopener noreferrer\"> sold &#8220;about 75% of our Spotify equity for approximately $400m&#8221;.<\/a><\/p>\n<p>This sale either took place, according to Warner, in April or in the first few days of May (ie. after calendar Q1).<\/p>\n<p>What we know: the highest day-close Spotify share price during this period was $170 (Weds, May 2), and the lowest day-close Spotify share price was $143.99 (Thurs, April 5).<\/p>\n<figure class=\"mbw-articlepic mbw-articlepic--center\"><a href=\"https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-20.32.52.jpg\" target=\"_blank\" rel=\"noopener noreferrer\"><img  class=\"lazyload\" src=\"https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-20.32.52-80x65.jpg\" data-srcset=\"https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-20.32.52-80x65.jpg 80w, https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-20.32.52-160x130.jpg 160w, https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-20.32.52-320x259.jpg 320w, https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-20.32.52-418x339.jpg 418w, https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-20.32.52-648x525.jpg 648w, https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-20.32.52-836x678.jpg 836w, https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-20.32.52-1296x1051.jpg 1296w\" data-sizes=\"auto\"><\/a><\/figure>\n<p>Considering Warner banked approximately $400m, this means, at the stock price&#8217;s highest point, Warner would have owned around 2,352,941 Spotify shares pre-sale ($400m \/ $170).<\/p>\n<p>And, at the stock price&#8217;s lowest point, Warner would have owned around 2,777,971 Spotify shares pre-sale ($400m \/ $143.99) .<\/p>\n<p>Stay the course &#8211; we&#8217;re nearly at the important bit.<\/p>\n<hr \/>\n<p>Remember that these figures only represent approximately 75% of Warner&#8217;s total holding (it still owns 25% of its original Spotify stake).<\/p>\n<p>If we do the requisite calculation to estimate what 100% of WMG&#8217;s pre-sale Spotify stock volume looked like, we end up somewhere between <strong>3.14m<\/strong> and <strong>3.70m<\/strong> shares.<\/p>\n<p>According to <a href=\"https:\/\/www.sec.gov\/Archives\/edgar\/data\/1639920\/000119312518092759\/d494294df1a.htm\" target=\"_blank\" rel=\"noopener noreferrer\">Spotify&#8217;s filings<\/a>, there were <strong>178,112,840<\/strong> total ordinary shares available in its company when it went public on April 3 &#8211; which is how it came up with the below table (putting Sony&#8217;s ownership at 5.7%).<\/p>\n<figure class=\"mbw-articlepic mbw-articlepic--center\"><a href=\"https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-19.38.01.jpg\" target=\"_blank\" rel=\"noopener noreferrer\"><img  class=\"lazyload\" src=\"https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-19.38.01-80x17.jpg\" data-srcset=\"https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-19.38.01-80x17.jpg 80w, https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-19.38.01-160x35.jpg 160w, https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-19.38.01-320x70.jpg 320w, https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-19.38.01-418x91.jpg 418w, https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-19.38.01-648x141.jpg 648w, https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-19.38.01-836x182.jpg 836w, https:\/\/www.musicbusinessworldwide.com\/files\/2018\/05\/Screen-Shot-2018-05-14-at-19.38.01-1296x282.jpg 1296w\" data-sizes=\"auto\"><\/a><\/figure>\n<p>Long story long: according to our calculations, this all means Warner had a Spotify shareholding of between <strong>1.76%<\/strong> and <strong>2.08%<\/strong> before it sold <strong>$400m-worth<\/strong> of stock in the past few weeks.<\/p>\n<p>That&#8217;s an approximate equity stake of <strong>1.9%<\/strong>.<\/p>\n<p>Notice anything odd about that number?<\/p>\n<p>Back in 2008, remember, Warner had a crisp <strong>4%<\/strong> ownership stake in Spotify.<\/p>\n<p>Yet over the years, with investment pouring into the platform, diluting the holdings of existing stakeholders, that number pretty much got halved.<\/p>\n<p>And it&#8217;s here we can start making a reasonable estimate of what <strong>Merlin&#8217;s<\/strong>\u00a0original stake in Spotify looked like by 2018 &#8211; and what it was worth in cash money.<\/p>\n<hr \/>\n<figure class=\"mbw-articlepic mbw-articlepic--right\"><img  class=\"lazyload\" data-srcset=\"https:\/\/www.musicbusinessworldwide.com\/files\/2017\/03\/Merlin-Logo-One-80x48.jpg 80w, https:\/\/www.musicbusinessworldwide.com\/files\/2017\/03\/Merlin-Logo-One-160x96.jpg 160w, https:\/\/www.musicbusinessworldwide.com\/files\/2017\/03\/Merlin-Logo-One-320x192.jpg 320w, https:\/\/www.musicbusinessworldwide.com\/files\/2017\/03\/Merlin-Logo-One-418x251.jpg 418w, https:\/\/www.musicbusinessworldwide.com\/files\/2017\/03\/Merlin-Logo-One-648x389.jpg 648w, https:\/\/www.musicbusinessworldwide.com\/files\/2017\/03\/Merlin-Logo-One-836x502.jpg 836w, https:\/\/www.musicbusinessworldwide.com\/files\/2017\/03\/Merlin-Logo-One-1296x778.jpg 1296w\" data-sizes=\"auto\"><\/figure><p>First, the pre-warning: the following assumes that all of Merlin&#8217;s original equity remained amongst those <strong>178,112,840<\/strong> ordinary Spotify shares. (It also ignores the unlikely possibility of additional equity which may have been purchased.)<\/p>\n<p>Now, if Merlin had a <strong>1%<\/strong> stake in Spotify in 2008 &#8211; and saw its holdings reduced by a similar dilution process as Warner over the past decade &#8211; it would have ended up owning around <strong>0.5%<\/strong> of total shares in Spotify when it cashed in.<\/p>\n<p>That would have amounted to a volume of around<strong> 890,564<\/strong> ordinary shares in the streaming company in 2018.<\/p>\n<p>Going back to our Spotify share price high\/low in April and early May (<strong>$170<\/strong> vs. <strong>$143.99<\/strong>), this proposed Merlin stake would have therefore been worth anywhere between <strong>$128.2m<\/strong> and <strong>$151.4m<\/strong>.<\/p>\n<p><span style=\"text-decoration: underline;\"><strong>In other words, MBW is very confident that Merlin recently sold over $100m in Spotify shares on the New York Stock Exchange.<\/strong><\/span><\/p>\n<p>Merlin, a non-profit, has had to distribute this sum amongst over 800 members representing tens of thousands of labels.<\/p>\n<hr \/>\n<figure class=\"mbw-articlepic mbw-articlepic--right\"><img  class=\"lazyload\" data-srcset=\"https:\/\/www.musicbusinessworldwide.com\/files\/2018\/03\/universal-music-group_logo_201612282134584-80x45.png 80w, https:\/\/www.musicbusinessworldwide.com\/files\/2018\/03\/universal-music-group_logo_201612282134584-160x90.png 160w, https:\/\/www.musicbusinessworldwide.com\/files\/2018\/03\/universal-music-group_logo_201612282134584-320x181.png 320w, https:\/\/www.musicbusinessworldwide.com\/files\/2018\/03\/universal-music-group_logo_201612282134584-418x236.png 418w\" data-sizes=\"auto\"><\/figure><p>On to Universal.<\/p>\n<p>UMG&#8217;s current stake in Spotify looks likely to make up somewhere around 3.5% of the streaming company &#8211; if, like Warner, the major&#8217;s seen its original holding (7% inc. EMI) approximately cut in half over the years.<\/p>\n<p>A 3.5% stake would make Universal&#8217;s equity in Spotify &#8211; at the streaming company&#8217;s current market cap ($28.5bn) &#8211; worth approximately $1bn.<\/p>\n<p><em>(Note: Universal may have upped this stake by buying further shares, but its stakeholding couldn&#8217;t have risen higher than 5% on April 3 or it would have showed up in Spotify&#8217;s pre-float filings.)<\/em><\/p>\n<hr \/>\n<figure class=\"mbw-articlepic mbw-articlepic--right\"><img  class=\"lazyload\" data-srcset=\"https:\/\/www.musicbusinessworldwide.com\/files\/2017\/03\/sony-music-br-80x48.jpg 80w, https:\/\/www.musicbusinessworldwide.com\/files\/2017\/03\/sony-music-br-160x96.jpg 160w, https:\/\/www.musicbusinessworldwide.com\/files\/2017\/03\/sony-music-br-320x192.jpg 320w, https:\/\/www.musicbusinessworldwide.com\/files\/2017\/03\/sony-music-br-418x251.jpg 418w, https:\/\/www.musicbusinessworldwide.com\/files\/2017\/03\/sony-music-br-648x389.jpg 648w\" data-sizes=\"auto\"><\/figure><p>The interesting outlier in this narrative is Sony Music.<\/p>\n<p>As covered at the start of this analysis, Sony (when it was Sony BMG) acquired an equity stake in Spotify of <strong>6%<\/strong> in 2008.<\/p>\n<p>By rights, following our Warner calculations, that number should have ended up somewhere near <strong>3%<\/strong> when Spotify floated.<\/p>\n<p>But it didn&#8217;t: the streamer&#8217;s fiscal filings clearly showed Sony&#8217;s stake stood at <strong>5.7% <\/strong>on April 3.<\/p>\n<p>Sources have told MBW that, at some point over the past decade, Sony has acted like a VC, buying up Spotify equity to boost its ownership stake in Daniel Ek&#8217;s company.<\/p>\n<p>This certainly seems to play out.
